شروط استخدام منصة/ موقع وازي وأحكامه

المقدمة:

مرحبا بكم في موقع ومنصة وازي، في حالة تصفحك واستخدامك لهذا الموقع، فإنك توافق على الامتثال والالتزام بشروط وأحكام الاستخدام التالية، والتي تحكم علاقة وازي معك فيما يتعلق بهذا الموقع واستخدامك له.

يشير مصطلح وازي إلى مالك الموقع أو التطبيق أو المنصة والذي يقع مكتبه المسجل والمعتمد في (مبنى نورين ٢٣١٩،طريق أنس بن مالك -الياسمين ، الرياض،السعودية ) كما ويشير مصطلح "أنت" أو ضمير المخاطب إلى المستخدم أو المتصفح للموقع أو المنصة عبر الإنترنت.

قد يتم تعديل هذه الشروط والأحكام من وقت لآخر وسيتم إخطارك بذلك وفقًا لتقدير وازي، كما ويقع على عاتقك كمستخدم للموقع مسؤولية مواكبة التطورات التي تطرأ على هذه الشروط والأحكام وذلك من خلال الزيارات والاستخدامات المتكررة للموقع، وبناء على ذلك سيتم اعتبارك موافقًا على هذه الاتفاقية بصيغتها المعدلة في حالة الاستمرار في استخدام أي من الخدمات المقدمة عبر الموقع بعد نشر أي تعديلات عليه، كما ويحتفظ وازي بالحق في إضافة أو تعديل أو حذف أي من هذه الشروط والأحكام،مع التقيد بذات المسؤوليات والالتزامات المعمول بها والمتعارف عليها في مثل هذه الخدمات أو المواقع أو المنصات.

نظرة عامة:

وازي هو عبارة عن نظام سحابي يعمل بشكل أساسي على تسهيل وإدارة وتسويق وتطوير العقارات السكنية والتجارية المدرجة في المملكة العربية السعوديةمن خلال الموقع الإلكتروني الخاص به demo.wazi.sa، والذي تتم إدارته من قبل شركة الحرباء السوداء(وازي) وتحكمه هذه الشروط والأحكام والتي يتم تفسيرها وفقًا لأنظمة المملكة العربية السعودية.

بيانات التسجيل وأمن الحساب

من خلال التسجيل في خدمات الموقع، فإنك توافق على:

1. صحة ودقة وشمولية البيانات المزودة والمحافظة عليها على النحو المطلوب وبالشكل المتعارف عليه للقيام بذلك.

2. الحفاظ على سرية بيانات الدخول كاسم المستخدم وكلمة المرور الخاصة بك.

3. قبول جميع المخاطر التي يتسبب فيها الوصول غير المصرح به إلى بيانات التسجيل وأي معلومات أو بيانات أخرى تقدمها إلىوازي.

حقوق النشر والتأليف

تعتبر جميع المواد التي يتم نشرها على موقع أو تطبيق وازي مملوكة لشركة وازي ما لم يتم النص على خلاف ذلك، وتنطبق عليها حقوق النشر والاستخدام وحقوق قواعد البيانات وأي حقوق أخرى،ويمنع استخدام أي من هذه المواد لخدمة أي أغراض تجارية أو عامة خارجة عن النطاق العادي والمتعارف عليه للاستخدام، مع السماح لمستخدمين وازي فقط بطباعة وتنزيل بعض هذه المواد وذلك ضمن سياسة الاستخدام العادي الذي صمم وازي من أجله.

مع الأخذ بعين الاعتبار بوجوب الحصول على إذن كتابي مسبق من قبل وازي من خلال إرسال طلب إلى info@wazi.saفي حال الرغبة في القيام بنشر أو إعادة الإنتاج أو إجراء اقتباسات أو تخزين أو فك الشفرات أو نقل المحتوى على أي موقع ويب آخر.

حقوق الملكية

بموجب هذه الاتفاقية تقر وتوافق على أن استخدام الموقع وجميع الخدمات والمحتويات والمعلومات والتكنولوجيا هي ملك لوازي ومرخص لها بالاستخدام حسب النظام، وتعتبر محمية بموجب نظام الملكية الفكرية المعمول به في المملكة العربية السعودية وغيرها من القوانين والمعاهدات الدولية الأخرى التي تعتبر المملكة العربية السعودية طرفًا فيها.

ويعتبر المحتوى المعروض من قبل شركة وازي على الموقع الإلكتروني أو غيرها من الخدمات الأخرى، على سبيل المثال لا الحصر، المعلومات أو البيانات أو النصوص أو البرامج أو الموسيقى أو الصوت أو الصور أو الرسومات أو الفيديو أو الرسائل أو العلامات أو غيرها من المواد الأخرى، هي محتويات خاصة و محمية بحقوق الطبع والنشر من قبل وازي ومرخصيها بموجب أنظمة المملكة العربية السعودية وقوانين حقوق النشر الدولية المعتمدة من قبلها، وبموجب ذلك توافق وتلتزم بعدم إعادة إنتاج أو نسخ أو عرض أو تخزين أو أداء أو إعادة نشر أو نشر أو نقل أو توزيع أو بيع أو عرض للبيع أو ترخيص أو تعديل أو إنشاء أو استخدام أو استغلال كل أو جزء من محتوى وازي أو الموقع لأي أغراض تجارية أو أغراض شخصية، أو الوصول إلى الموقع بأي شكل من الأشكال دون إذن كتابي و مسبق من قبل إدارة وازي، مع الأخذ بعين الاعتبار بأن جميع المحتويات الموجودة على الموقع والتي لا تمثل محتوى وازي هي ملك ومسؤولية مستخدمين أخرين، كما ويتعين عليك الالتزام بجميع الإشعارات أو المعلومات أو القيود المتعلقة بحقوق التأليف والنشر الواردة في أي محتوى خاص بوازي أو مرفق به، ويعتبر شعار وازي وجميع العلامات الأخرى المستخدمة سواء كانت مسجلة أو غير مسجلة والمتعلقة بالموقع والخدمات المقدمة من خلاله هي علامات تجارية أو أسماء تجارية خاصة بوازي وتحميها مواد أنظمة الملكية الفكرية الخاصة بذلك ما لم يتم النص أو الاتفاق على خلاف ذلك.

أمن الحساب

تقر بأنك المسؤول الوحيد عن الحفاظ على سرية كلمة المرور وأي بيانات أخرى خاصة بالحساب تقوم بإنشائها من أجل استخدام أو الوصول إلى خدمات وازي،ويعتبر وازي غير مسؤولا عن أي خسارة قد تلحق بك نتيجة استخدام أي طرف ثالث لبيانات الدخول الخاصة بك، سواء بعلمك أو بدونه، وتعتبر مسؤولا أمام وازي عن أي خسائر تلحق بها أو بالمسؤولين، أو المديرين، أو الموظفين، أو المستشارين، أو الوكلاء، أو الممثلين التابعين لوازي بسبب إساءة استخدام حسابك الخاص أو كلمة المرور،وتلتزم بإخطارنا فوراً بأي استخدام غير مصرح به لحسابك أو اسم المستخدم أو كلمة المرور الخاصة بك، مع الأخذ بعين الاعتبار بأن عملية تسجيل الدخول إلى الحساب يجب أن تكون من قبل شخص واحد فقط (المستخدم)، ولا يتحمل وازي أي مسؤولية عن تسجيل الدخول من قبل عدة أشخاص.

طرق الدفع وإجراءاته

تتم معالجة طلب الاشتراك والاستفادة من الخدمات المقدمة من قبل وازي بعد دفع كامل رسوم الاشتراك المقررة من قبل وازي بشكل مقدم، وبإمكانك كمستخدم بعد ذلك الاستفادة من الخدمات المقدمة خلال ثلاثون يوماً كحد أقصى من تاريخ عملية الدفع.

عندما تقوم بعملية الدفع من خلال حساب وازي الخاص بك، سيُطلب منك تقديم بعض البيانات المعتادة أثناء التسجيل، مثل الاسم والعنوان وبيانات الحساب المصرفي والسجل التجاري وغيرها من البيانات المتعلقة بطريقة الدفع، وذلك لحساب وازي أو طرف ثالث (الجهة المدفوع لها، مزود خدمة التحصيل)، وعليه يجب عليك التأكد من دقة وشمولية وصحة البيانات المقدمة أثناء عملية الدفع واختيار طريقة الدفع، ومتابعة تحديثها من وقت إلى أخر.

ملاحظة: تتضمن طرق الدفع استخدام مزود خدمة تحصيل خارجي يتبع لجهة خارجية (طرف ثالث)، وقد يقوم مزود الخدمة مع وازي بفرض رسوم إضافية عليك كمستخدم عند معالجة الرسوم المدفوعة الخاصة بخدمات الدفع (بما في ذلك خصم الرسوم من إجمالي المبلغ المدفوع)،ويعتبر وازي غير مسؤول عن أي من هذه الرسوم بشكل مطلق، إضافة إلى أن طريقة الدفع الخاصة بك قد تخضع أيضًا للشروط والأحكام التي يفرضها مزود خدمة التحصيل (الطرف الثالث)، لذا عليك مراجعة الشروط والأحكام الخاصة بالطرف الثالث قبل استخدام طريقة الدفع الخاصة بك.

كما أنك تفوض وازي بالقيام بتخزين المعلومات الخاصة بطريقة الدفع وتحميلك الرسوم الخاصة بذلك كما هو موضح في الشروط أعلاه، وفي حال طرأ أي تغير على بيانات الحساب وطريقة الدفع الخاصة بك على سبيل المثال (رقم الحساب، رقم التحويل، تاريخ انتهاء الصلاحية، السجل التجاري، أو أي وثائق إثبات أخرى) نتيجة لإعادة الإصدار أو خلاف ذلك، يحق لوازي الحصول على هذه المعلومات من مزود خدمة التحصيل (الطرف الثالث) أو البنك الذي تتعامل معه، والقيام بتحديث طريقة الدفع الخاصة بك والمسجلة في حساب وازي الخاص.

كما ويعتبر المستخدم هو المسؤول الوحيد عن دقة وصحة واكتمال البيانات الخاصة بطريقة الدفع، ولا يمكن مسائلة وازي عن أي خسارة ناتجة عن سوء التصرف أو الخطأ أو عدم صحة البيانات المقدمة سواء من قبل المستخدم أو من قبل أي طرف خارجي.

سلوك المستخدم

أثناء استخدامك لموقع الويب الخاص بوازي أو النظام الأساسي للبرنامج أو الخدمات المقدمة، فإنك توافق على:

1. عدم تقييد أو منع أو عرقلة أي زائر أو مستخدم آخر من استخدام الموقع والاستفادة من الخدمات المقدمة، بما في ذلك، على سبيل المثال لا الحصر القرصنة أو الاختراق أو التعطيل لأي جزء من الموقع.

2. عدم استخدام موقع الويب الخاص أو البرنامج أو الخدمات المقدمة لأي أغراض غير قانونية أو نشر أي معلومات تنتهك حقوق الملكية الفكرية أو سياسة الخصوصية الخاصة بوازي أو أي طرف ثالث.

3. التأكد من اعتماد البيانات المقدمة والمعروضة من قبلنا بشكل مسبق.

4. عدم نقل محتوى أو معلومات غير قانونية أو احتيالية أو تهديدية أو مسيئة أو تشهيرية أو مصنفة بأنها مرفوضة أو تنتهك حقوق الملكية الفكرية أو أي حقوق أخرى خاصة بنا أو أي طرف ثالث أو معلومات أو مواد خاصة عن شركات دون الحصول على إذن أو ترخيص للقيام بذلك، أو أي سر تجاري لأي طرف ثالث أو إعلانات أو عروض أو رسائل أو مخططات أو فرص استثمارية أو غير ذلك من الأمور التجارية غير مرغوب بالإفصاح عنها باستثناء ما تم الحصول على إذن مسبق بشأنه، أو الشروع بأعمال أو برامج أو غيرها من المواد التي تحتوي على فيروسات من شأنها إلحاق العطل أو الضرر، أو تعديل أو اتفاق من الباطن أو ترجمة أو بيع أو إجراء فك الشفرات أو تعطيل أو تفكيك أي جزء من موقع الويب أو البرنامج، أو إزالة أي حقوق نشر أو علامة تجارية أو إشعارات حقوق الملكية الأخرى الواردة في الموقع، أو سرقة أي جزء من الموقع، أو ربط أي صفحة أو مادة على موقع الويب بخلاف عنوان URL الموجود في https://wazi.sa/ أو استخدام أي روبوت أو تطبيق للبحث أو الاسترجاع في الموقع أو أي جهاز أو أي عملية يدوية أو آلية أخرى لاسترداد أو فهرسة أو "تنقيب البيانات" أو بأي طريقة لإعادة إنتاج أو التحايل على هيكل التنقل أو العرض الخاص بالموقع أو محتوياته، أو جمع معلومات حول مستخدمين أو زوار الموقع دون الحصول على موافقتهم أو موافقة وازي الصريحة والمسبقة.

5. وازي ليست مسؤولاً عن أي أراء سياسية أو دينية أو عرقية أو حزبية في أي مراسلات يتم إجراؤها من قبل مستخدمي الموقع، لذلك فإن أي رأي من هذا القبيل يتم التعبير عنه، سواء بشكل صريح أو ضمني في أي من المراسلات المذكورة لا يعبر عن رأي وازي، كما يجوز لـوازي مراقبة حساب المستخدم والإحالة إلى التحقيق وإنهاء الحساب سواء بشكل مؤقت أو دائم في حال القيام بأي سلوك لا يتماشى مع ممارسات وازي أو الأنظمة والقوانين أو العرف السائد.

الدعاية والمواد الإعلانية

يقع على عاتق المعلن مسؤولية التأكد من أن جميع المواد المعلن عنها عبر وازي تتفق مع جميع الأنظمة واللوائح ذات الصلة بما في ذلك على وجه الخصوص أنظمة المملكة العربية السعودية، ولا يتحمل وازي أي مسؤولية نتيجة الخطأ أو عدم الدقة أو الحذف في المواد الإعلانية،كما ويجب في أي منشور أو مادة (بما في ذلك الصور الفوتوغرافية) يتم نشرها على موقع وازي أن يكون متناسب ومتوافق مع أنظمة المملكة العربية السعودية المتعلقة بهذا الخصوص، مع الأخذ بعين الاعتبار ضرورة الحصول على إذن مالك حقوق الطبع والنشر قبل نشر أي مادة مملوكة للغير.

يمتلك وازي وفي أي وقت الحق المطلق في إزالة أي من المواد أو المنشورات التي يعتقد وفقا لتقديره بأنها لا تتناسب مع القواعد المذكورة أعلاه، ويعتبر المستخدم الذي ينشر مثل هذه المواد المسؤول المباشر عنها ويقع على عاتقه مسؤولية تعويض وازي عن أي أضرار أو تكاليف يطالب بها أي شخص لديه حقوق ملكية أو أي حقوق أخرى على المواد المنشورة، كما ويلتزم المستخدم بالتعويض عن أي أضرار ناجمة أو تكاليف يطالب بها أي شخص تم التشهير به أو لحق به ضرر نتيجة محتوى المواد المنشورة.

يكون المستخدم مسؤولا عن كل ما ينشره بنفسه أو من خلاله من الارتباطات التشعبية وعناوين URL ومواقع الويب وعناوين صفحات الويب والمواد المرئية ومعلومات الاتصال وأي مواد أخرى تابعة لأي جزء من المواد المنشورة على وازي، وسيكون مسؤولاً عن تعويض وازي عن أي أضرار ناجمة أو تكاليف يطالب بها أي شخص لديه حقوق ملكية أو أي حقوق أخرى على المواد المنشورة، ويحق لـوازي إزالة الارتباطات التشعبية و عناوين URL و مواقع الويب وعناوين صفحات الويب والمواد المرئية ومعلومات الاتصال وأي مواد أخرى تابعة لأي جزء من المواد المنشورة على موقع وازي دون أي إشعار.

يحق لوازي تعليق وصول أي مستخدم إلى الموقع دون الحق في المطالبة بتعويض لأي من الأسباب التالية: -

1. عدم قيام المستخدم في سداد أي من الرسوم في تاريخ الاستحقاق المتفق عليه.

2. قيام المستخدم بنشر أي مواد تتعارض مع أي من شروط وأحكام وازي.

3. إساءة الاستخدام لأي من الخدمات المعروضة على الموقع.

4. عدم تزويد المستخدم لوازي بالمعلومات والمواد الضرورية والمطلوبة للاستفادة من خدمات الموقع.

5. إذا كان عدم القدرة على تقديم الخدمات يرجع إلى سبب خاص بالمستخدم.

6. اعتبارسلوك المستخدم وفقا لتقدير وازي بأنه غير مناسب وضار بسياسة وازي.

ويصرح وازي بأنه لا يتحكمفي المواد المنشورة على الموقع من قبل المستخدمين ولا يتحمل أي مسؤولية عنها، ويفترض على كل مستخدم أن يمارس عمله بشكل مهني وطبقاً للعرف السائد بخصوص المواد التي يتم نشرها من قبل الأشخاص الأخرين، وأي انتهاك على محتوى أي من هذه المواد يتحمل المستخدم مسؤوليته،ويقر المستخدم بأنه على علم ودراية تامة بأن الوصول إلى خدمات الإنترنت عرضة للانقطاع للعديد من الأسباب الخارجة عن سيطرة وازي، وبذلك لا يمكن لأي مستخدم تحميل وازي أي مسؤولية عن فشل أو تأخير أو تعطيل الوصول للخدمات، ولا يكون وازي مسؤولاً بأي حال من الأحوال عن أي خسائر نتيجة لذلك.

سياسة الخصوصية

يرجى الرجوع إلى سياسة وازي الخصوصية لمعرفة الكيفية التي يقوم بها وازي في جمع معلومات التعريف الشخصية وغرض الاستخدام والإفصاح عنها،وباستخدامك للخدمات الخاصة بوازي، فإنك توافق على أن وازي يملك الحق في استخدام وجمع والإفصاح عن معلومات التعريف الشخصية وفقًا لسياسة وازي الخصوصية، كما وتوافق على أنه يجوز لـوازي جمع البيانات غير الشخصية واستخدامها لأجراء أعمال تهدف إلى تحسين وتطوير خدمات وازي وغيرها من احتياجات البحث والتطوير وبذلك تمنح وازي حقاً دائم وغير قابل للإلغاء لاستخدام مثل هذه البيانات لهذه الأهداف.

تثبيت البرنامج والتدريب

سيتم عمل جدول للفريق الخاص بتثبيت البرنامج من أجل الاستفادة من الخدمات المقدمة وسيتم التنسيق مع المستخدمين بناءً على قائمة الانتظار وتلبية متطلبات الاستعداد الخاصة بموقع المستخدمين، كما سيوفروازي لفريقك جلسة تدريبية مجانية عبر الإنترنت حول كيفية استخدام نظام الخدمات بالإضافة إلى التدريب، مع الأخذ بعين الاعتبار الرسوم الإضافية لأي تدريب إضافي يتم إعطائه وفقًا لسياسة وازي.

سياسة الإنهاء وتعليق الحساب وغيرها من الإجراءات

يحق للمستخدم إنهاء هذه الاتفاقية في أي وقت عن طريق إرسال بريد إلكتروني لإخطار وازي قبل 30 يومًا، ويعتبر إنهاء هذه الاتفاقية بمثابة إشعار لإلغاء حساب وازي الخاص بالمستخدم وفقًا لشروط وأحكام وازي.

ويمتلك وازي كامل الحق في إنهاء هذه الاتفاقية في أي وقت عبر إشعار مرسل إلى البريد الإلكتروني الخاص بالمستخدم.

يحق لـوازي على الفور ودون إشعار، إنهاء هذه الاتفاقية بحق المستخدم في حالة: - (1) انتهاك المستخدم لأي من الالتزامات المقررة بموجب هذه الاتفاقية. (2) تزويد بيانات غير دقيقة أو احتيالية أو قديمة أو غير كاملة من قبل المستخدم. (3) انتهاك المستخدم لأي من القوانين أو اللوائح المعمول بها أو أي حقوق متعلقة بجهات خارجية. (4) أي حالة يعتقد فيهاوازي وفقا لتقديره أن من شأن مثل هذه الإجراءات أن تحمي المستخدمين أو وازي أو أي طرف ثالث (على سبيل المثال لا الحصر في حالة الاحتيال).

بالإضافة إلى ذلك، يحق لـوازي تقييد أو تعليق استخدامات المستخدمين لخدمات الدفع أو الوصول إليها بشكل مؤقت أو دائم في الحالات التالية: - (1) الامتثال للقانون المعمول به، أو تنفيذ أمر أو طلب من المحكمة، أو تطبيقا لقانون معين، أو جهة إدارية أو هيئة حكومية. (2) انتهاك أي من هذه الشروط والأحكام أو القوانين أو اللوائح المعمول بها أو حقوق خاصة بطرف ثالث. (3) تزويد معلومات غير دقيقة أو احتيالية أو قديمة أو غير كاملة فيما يتعلق بالدفع. (4)اعتقاد وازي وفقا لتقديره أن من شأن مثل هذه الإجراءات حماية المستخدمين أو وازي أو أي طرف ثالث أو لمنع الاحتيال أو أي نشاط غير قانوني آخر. (5) عدم تقديم المعلومات اللازمة لتمكين عملية الدفع (على سبيل المثال، المعلومات المصرفية، والسجل التجاري، وما إلى ذلك).

في حال كان وصولك إلى خدمات الدفع أو استخدامها محدوداً أو تم إنهاء هذه الاتفاقية من قبل وازي، فلا يجوز لك تسجيل حساب وازي جديد أو محاولة الوصول إلى خدمات الدفع واستخدامها من خلال حساب وازي خاص بمستخدم آخر، وعند إنهاء حساب أي مستخدم، لن يعود بإمكان المستخدم الذي تم إنهاء أو تعطيل أو تعليق حسابه الوصول إلى البيانات والرسائل والملفات والمواد الأخرى التي تم حفظها على الموقع، ولذلك يرجى التأكد من الاحتفاظ على نسخة احتياطية من الخدمات المقدمة من أجل أي استخدامات لاحقة.

سياسة الإلغاء / الاسترداد

1. يحق للمستخدم استرداد رسوم الاشتراك بالخدمة الخاص به وذلك خلال ثلاثون يومًا من تاريخ الموافقة، وبعد ذلك لا يحق له المطالبة في استرداد أي مبالغ مدفوعة.

2. في حال قيام وازي بإنهاء خدمات المستخدم، يجب على المستخدم إرسال طلب إرجاع رسمي عبر البريد الإلكتروني الخاص بوازي info@wazi.saمرفقا معه البيانات التالية: المسمى الوظيفي، جهة الاتصال الخاصة ورقم الهاتف، والخدمة التي يرغب المستخدم في استرداد رسومها، وسبب الإلغاء وتفاصيل الحساب المصرفي.

الإعفاء من المسؤولية

بموجب هذه الاتفاقية تقر وتوافق صراحةً بأن وازي غير ملزم بتقديم أي ضمانات متعلقة بجودة الموقع أو القدرة التشغيلية أو الوظيفة الخاصة به، ولأي سبب من الأسباب قد يتم تقييد الوصول إلى الموقع أو تأخيره أو تعطيله، كما لا يلتزم وازي بضمان دقة أو ملائمة أو اكتمال أو صحة المحتوى الخاص بالمواد المعروضة على الموقع، ولا يحق لك كمستخدم مطالبة وازي بأي شيء في هذا الخصوص.

كما ويعتبر وازي معفياً من المسؤولية وبشكل كامل عن أي أضرار أو خسائر بما في ذلك وعلى سبيل المثال لا الحصر (الخسارة المالية والأضرار الناجمة عنها أو خسارة في الأرباح أو غيرها من الخسائر اللاحقة) الناجمة عن عدم الدقة أو الخطأ في البيانات الخاصة بالمواد المعروضة على موقع وازي أو نتيجة استخدام أو عدم القدرة على استخدام الموقع أو أي سبب أخر.

كما ويعتبر غير مسؤولا عن محتوى المواد والبيانات المعروضة نتيجة روابط متصلة بمواقع خارجية، كما ويتنصل وازي من جميع المسؤوليات (بما في ذلك الإهمال) فيما يتعلق بالمعلومات الموجودة على وازي أو التي يمكن الوصول إليها من خلاله.

التحكم في استخدام الموقع

يحق لوازي وبشكل مطلق ودون الحاجة إلى إبداء أسباب وبأي طريقة يراها مناسبة رفض وصول أي مستخدم إلى خدمات الموقع.

التغييرات والتعديلات على الموقع

يحق لـوازي وفي أي وقت إجراء أي تعديلات أو إضافات على كامل الموقع أو أي جزء منه، ولا يمكن اعتبار هذه الشروط والأحكام ضماناً بأن الخدمات ستكون متاحة دائماً على الموقع.

Our Terms & Conditions

Introduction:

By your acceptance to this agreement you are agreeing to comply with and be bound by the following terms and conditions of use, which govern Wazi relationship with you in relation to this agreement.

The term "Wazi" refers to the owner of the system whose registered office is (2319 - Office 108,1st Floor ,Noreen Building, Anas Ibn Malik Rd , Riyadh,KSA.)

, The term "you" refers to the user of our system.

These Terms and Conditions may be modified from time to time at Wazi's sole discretion and you may - be notified as far as may be practical. You will be deemed to have accepted the Agreement as amended if you continue to use any of the system services after any amendments posted on the Website or shared via Email. We reserve the right to include additional terms and conditions and/or to change delete any of these terms and conditions. You shall be bound by the same on your participation in such services or programs.

General

Wazi is a cloud-based system that facilitates the management, marketing, and development of residential and commercial properties, incorporated in the Kingdom of Saudi Arabia through the website located at www.wazi.sa/ The website is owned and operated by Black Chameleon (Wazi) governed by these terms and conditions, which shall be interpreted according to the laws of the Kingdom of Saudi Arabia.

Registration data; account security

If you register for the services, you agree to:

1.Provide and maintain accurate, current, and complete information as may be prompted by any registration forms on the services to do so.

2.Maintain the security of your username and password.

3.Accept all risks of unauthorized access to the registration data and any other information or data you provide to the Wazi.

All materials published on Wazi are owned by Wazi and unless otherwise stated, copyright, database rights, and any other similar rights apply. None of these materials may be used for any commercial or public use, outside your normal use. The printing and downloading of extracts of these materials are permitted within the normal use for which Wazi was designed. For use by users only.

Written permission from Wazi must be obtained before you publicly publish, reproduce, reverse-engineer, store, decompile or transmit on any other website. Requests to republish material should be sent to info@wazi.sa.

Ownership Rights

You acknowledge and agree that the Site and the Services use and contents, information, and proprietary and confidential technology are owned by or licensed to Wazi, and protected by applicable intellectual property and other laws and international treaties to which KSA is a party (collectively, “Wazi Content”). The Wazi Content displayed on or through the website and Services includes, without limitation, information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials, is copyrighted by Wazi and its licensors under Kingdom of Saudi Arabia and international copyright laws adopted thereby . All rights are reserved to Wazi. You agree not to reproduce, copy, display, store, perform, re-post, publish, transmit, distribute, sell, offer for sale, license, modify, create derivative works, or otherwise use or exploit for any commercial purposes any or all of the Wazi Content, the Site or access to the Site in any way without the prior written permission of Wazi. All content on the Site that is not Wazi Content is the property and responsibility of other users. You must abide by all copyright notices, information, or restrictions contained in or attached to any Wazi Content, the Wazi logo, and all other registered and unregistered marks used in connection with the Site and the Services (the “Wazi”) are trademarks, trade names, or service marks of Wazi unless otherwise indicated. You are not authorized to use or display the Wazi Marks, without the prior express written permission of Wazi. Ownership of all Wazi Marks and the goodwill associated therewith remains with Wazi. All other trademarks are the property of their respective owners.

Account Security

You are solely responsible for the confidentiality of any password and other account information that you create in order to access or use the Services. You agree to notify us immediately of any unauthorized use of your account, user name, or password. You also agree that we are not liable in any manner for any loss that you may incur as a result of any third party using your password, either with or without your knowledge. You are solely liable for any losses incurred by Us, Our affiliates, officers, directors, employees, consultants, agents, and representatives due to misuse of your account or password. Log-in to your account shall be used by one person. Wazi assumes no responsibility for log –in by multiple people.

Payment Methods and process

Your Quote/Estimate will not be processed, and the services will not be provided to you unless you have paid the full amount of the invoice in advance. The services will be activated within a maximum of 30 days of your payment.

When you add a Payment Method to your Wazi Account, you will be asked to provide customary billing information such as name, billing address, bank account information, an active commercial registration, and financial instrument information either to Wazi or its third-party payment processor(s). You must provide accurate, current, and complete information when adding a Payment Method, and it is your obligation to keep your Payment Method up-to-date at all times.

Please note that Payment Methods involve the use of a third-party payment service provider. This service provider and Wazi may charge you and/or the tenant additional fees when processing payments in connection with the Payment Services (including deducting charges from the Payout amount), and Wazi is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your Payment Method.

You authorize Wazi to store your Payment Method information and charge your Payment Method as outlined in these Payments Terms. If your Payment Method's account information changes (e.g., account number, routing number, expiration date, commercial registration, and/or other identification documents) as a result of re-issuance or otherwise, we may acquire that information from our financial services partner or your bank and update your Payment Method on file in your Wazi Account.

You are solely responsible for the accuracy and completeness of your Payment Method and Payout Method information. Wazi is not responsible for any loss suffered by you as a result of wrongdoing, mistakes, and/or incorrect Payment Method information provided by you or any other external party.

User Conduct

All Users from your part agree to adhere to the below code of conduct.

a)While using the Website, software platform, and/or any other Wazi Services, you agree not to:

I.Restrict or inhibit any other visitor or user from using the Website, including, without limitation, by means of "hacking" or defacing any portion of the Website.

II. Use the Website, software, and/or Service for any unlawful purpose; or post any information which infringes third party's intellectual property rights or privacy policy;

III.Express or imply that any statements you make are endorsed by us;

IV.Transmit any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes on our or any third party's intellectual property or other rights;/ any material, non-public information about companies without the authorization to do so;/ any trade secret of any third party; or any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication (except as otherwise expressly permitted by us), or engage in spamming or flooding;/ any software or other materials that contain any virus, worm, time bomb, Trojan horse, or other harmful or disruptive component;/ Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Website or software;/ Remove any copyright, trademark, or other proprietary rights notices contained in the Website; / "Frame" or "mirror" any part of the Website without our prior written authorization; / Link to any page of or material on the Website other than the URL located at https://www.wazi.sa// Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents; or Harvest or collect information about Website visitors or members without their express consent.

V.Wazi is not responsible for the political, religious, racial, or partisan opinion in any correspondence conducted by its domain users. Therefore, any such opinion expressed, whether explicitly or implicitly, in any said correspondence is not to be interpreted as that of Wazi. Wazi may monitor, investigate, and temporarily or permanently terminate the user for conduct not in line with Wazi or market business practice.

Advertising Material

It is the advertiser's responsibility to ensure that the material submitted to be included on Wazi complies with all the relevant laws and regulations inclusive of the Laws of the Kingdom of Saudi Arabia. Any error, inaccuracy, or omission in advertising material is not the responsibility of Wazi.

Any material (including photographs) posted to the site must be suitable and intended for the promotion of appropriate properties and comply with the Laws of the Kingdom of Saudi Arabia. The copyright owner's permission must be obtained before posting any material and in all ways be lawful and of appropriate content for the nature of the site.

Wazi may remove at any time those materials which Wazi believes do not comply with the above rules. The user who posts the material is responsible for it and will indemnify Wazi against any damages or costs claimed by anyone who has an ownership or other rights over the materials posted. The user will also indemnify us against any damages or costs claimed by anyone who has been libeled or otherwise damaged by the content of materials.

Hyperlinks, URL's, websites, web page addresses, visual material, contact information, or any material to any part of the material published on the site is the responsibility of the user who posted those links and will be responsible for indemnifying Wazi against any damages or costs claimed by anyone who has an ownership or other rights over the materials posted. Hyperlinks, URL's or websites, and web page addresses, visual material, contact information, or any material can be removed by Wazi without notice.

Wazi may suspend the user's access to the site without compensation for the following reasons:-

1.The user fails to make any due payments on the due date.

2.The user posts material in contravention of any of these terms and conditions.

3.The user abuses the facilities available on the site.

4.The user does not provide Wazi with information that is necessary to be provided for the implementation of the Services.

5.The condition of the user premises do not allow Wazi to deliver the Services, or

The user does not allow Wazi to deliver the Services to it.

6.Conduct of the user that Wazi considered disadvantageous or harmful based on Wazi’s sole discretion.

Wazi has no control over the materials posted on the site by users and will accept no liability for them. The user is expected to exercise their professional judgment in respect of the materials posted by others and any reliance placed on the content of such materials is at the user's own risk.

The user should recognize that access to internet services is subject to disruption for a number of reasons, many of which are beyond the control of the operator. By using the site you accept that Wazi has no liability for the failure of services. Wazi will not in any circumstances be held liable for loss of profit or business or any other economic loss.

Please refer to Wazi Privacy Policy for information on how Wazi collects, uses, and discloses personally identifiable information. By using the Services, or the hardware, you agree to Wazi use, collection, and disclosure of personally identifiable information in accordance with Wazi Privacy Policy. You agree that Wazi may collect, maintain and use non-personally identifiable data in order to conduct studies, improvement, and enhancement of Wazi Services, and other research and development needs and you grant Wazi an irrevocable, perpetual, non-exclusive right to use such data for such purpose.

Training

The Training session will be scheduled and the professional services team will co-ordinate with you based on queue status and customer fulfilling site readiness requirements. Wazi will provide your team with a free online training session on the use of the services system as well as training; bearing in mind the additional fee for any further training shall be applicable according to ad hoc quotes from Wazi

Termination, Suspension, and Other Measures

You may terminate this Agreement at any time by sending us an email giving us 30 days' notice. Terminating this Agreement will also serve as notice to cancel your Wazi Account pursuant to the Wazi Terms and Conditions.

Without limiting our rights, Wazi may terminate this Agreement for convenience at any time immediately via email notice to your registered email address.

Wazi may immediately, without notice terminate this Agreement if (i) you have materially breached your obligations under this Agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Wazi believes in good faith that such action is reasonably necessary to protect other Users, Wazi or a third party (for example in the case of your fraudulent behavior).

In addition, Wazi may limit or temporarily or permanently suspend your use of or access to the Payment Services in the following cases: (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, or if (ii) you have breached these Terms and conditions, applicable laws, regulations or third-party rights, (iii) you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment or (iv) Wazi believes in good faith that such action is reasonably necessary to protect the personal safety or property of Wazi, its Users, Wazi, or a third party, or to prevent fraud or other illegal activity. (v) Information needed to enable the payments was not provided (e.g. bank info, commercial registration, etc.)

If your access to or use of the Payment Services has been limited or this Agreement has been terminated by us, you may not register a new Wazi Account or attempt to access and use the Payment Services through another Wazi Account of another user. On termination of your Account, you shall no longer have access to data, messages, files, and other material you keep on the Website. Please ensure that you have a continuous backup of the Services you have rendered in order to comply with your record-keeping process and practices.

Cancellation/refund policy

1.you have the right to cancel your estimate invoice for service subscription within 30 days from the estimated approval, after which you lose your right of requesting a refund.

2.In case Wazi terminates your service, you should send an official return request by email through info@wazi.sa with the following information: Your business name, your contact

3.person’s name and phone number, the service you would like to refund for, the reason behind the cancellation, and your bank account details.

4.You will be notified 30 calendar days prior to the end of your subscription, and you have the right not to renew your subscription during this period & you will be requested to pay the renewal subscription amount within these 30 days to keep your subscription active.

Disclaimer

You expressly understand and agree that assurance or warranty cannot be given by Wazi as to the quality, operation, or functionality of the site. For any reason access to the site may be restricted, delayed, or interrupted. The content of the material appearing on the site, its accuracy, timelessness, fitness, or completeness cannot be assured by Wazi.

To the full extent permissible by law, Wazi disclaims all responsibility for any damages or losses (including, without limitation, financial loss, damages for loss in business projects, loss of profits, or other consequential losses) arising in contract, tort, or otherwise from inaccuracy, errors, or misinformation of material displayed on Wazi or the use of or inability to use the site or any material appearing on Wazi, or from any action or decision taken as a result of using Wazi or any such material.

Wazi has no control over and cannot be held responsible for the content of any links to external sites that Wazi may contain. Wazi cannot be responsible for information on Wazi or any available hypertext links from Wazi. Wazi disclaims all responsibility and liability (including negligence) in relation to information on or accessible from Wazi.

Control of site usage

We reserve the absolute right to deny users access to the system in any way and for any reason, we believe fit.

Changes to the website

We may at any time make alterations to or to withdraw this website or any part of it. And noting in these Terms and Conditions shall not be taken as a guarantee that the services will always be available.

Law and Jurisdiction

These terms and conditions shall be interpreted in accordance with the Laws of the Kingdom of Saudi Arabia and any dispute shall be subject to the exclusive jurisdiction of the Kingdom of Saudi Arabia Courts.

These terms and conditions are subject to change. Changes shall be considered effective as soon as they are publically published or otherwise shared with the users.
